L’article L. 261-10 du Code de la construction et de l’habitation impose au vendeur d’indiquer obligatoirement le délai de livraison dans le contrat de VEFA. Cette mention est impérative sous peine de nullité du contrat. La date fixée engage juridiquement le promoteur et constitue un élément essentiel du contrat.
Pour les contrats de construction de maison individuelle (CCMI), l’article R. 231-14 du Code de la construction et de l’habitation prévoit automatiquement une pénalité légale d’au minimum 1/3000e du prix de construction par jour de retard, sans qu’il soit nécessaire de le prévoir contractuellement.

- Ne pas dépendre de la seule volonté du promoteur

Les pénalités contractuelles
Lorsqu’elles sont prévues au contrat, les pénalités s’appliquent automatiquement. Le montant habituel est de 1/3000e du prix total par jour de retard. La Cour de cassation reconnaît au juge le pouvoir de modérer ou d’augmenter ces pénalités selon l’importance du préjudice réellement subi (application de l’article 1231-5 du Code civil sur les clauses pénales).
Les dommages et intérêts complémentaires
Au-delà des pénalités contractuelles, l’acquéreur peut obtenir réparation de l’ensemble de son préjudice sur le fondement de l’article 1231-1 du Code civil. La jurisprudence reconnaît notamment :
- CA Montpellier, 1re ch. A, 20 juin 2019, n° 15/03390 : indemnisation des intérêts d’emprunt, charges de copropriété et immobilisation des fonds
- Cass. 3e civ., 12 octobre 2022, n° 21-20.804 : seule la date figurant dans l’acte authentique fait foi

- Les loyers payés en attendant la livraison
- La perte de revenus locatifs escomptés
- Les frais de garde-meuble et de déménagement
- Les intérêts intercalaires du prêt immobilier
- La perte d’avantages fiscaux (dispositifs Pinel, De Robien)
- Le préjudice moral pour les désagréments subis

Avant toute action en justice, l’acquéreur doit mettre en demeure le promoteur par lettre recommandée avec accusé de réception de :
- Justifier le retard par des documents probants
- Livrer le bien dans un délai déterminé
- Indemniser le préjudice subi
L’action en résolution
En cas de retard important et non justifié, l’acquéreur peut demander l’annulation de la vente sur le fondement des articles 1184 et 1610 du Code civil. Cette action nécessite de saisir le tribunal judiciaire du lieu de situation de l’immeuble. L’annulation entraîne la restitution des sommes versées et l’indemnisation des préjudices, sous réserve de la solvabilité du promoteur.
La consignation du solde
L’article L. 261-10-1 du Code de la construction et de l’habitation permet à l’acquéreur de consigner les 5% du prix restant dus auprès de la Caisse des Dépôts et Consignations jusqu’à la levée des réserves ou la livraison effective.
